System Freezes: "msgsrv32.exe not responding"

Got cable modem hookup a month ago. Things ran well
until I did a Scandisk and Defrag last weekend. Now
at some point after booting (2 minutes to 2 hours) the
system freezes. Cntrl+alt+del says that msgsrv32 is
not responding. Click to end the task and the system
returns to normal (for a while, anyway) but I lose
the modem connection. If I reboot the process starts
all over again. This is a fairly new computer (Dell)
and tech support says there is a corrupted file and I
need to reformat the HD and reinstall Win ME. That's
a pain, and won't I still have the conflict? If
msgsrv32 is corrupted on the Dell can't I just copy
the file from my office computer (W98, ver 1) and
substitute it? Thanks for any suggestions.
